Terms of Sale

Last updated : 10 October 2026

These terms govern every purchase made on https://bvfactory.dev, by professionals and by consumers. Clauses marked "Consumers" apply only to individuals acting outside their trade or profession. The French version of these terms prevails.

1. Seller

BV FACTORY, SARL with a share capital of 2 000 €, 16 rue des Caillères, 44330 Le Pallet, France — RCS Nantes 930 867 353 — VAT FR07930867353 — contact@bvfactory.dev.

2. Products

We sell software plugins for the Q-SYS platform. They are digital content, supplied without any physical medium: a plugin file to download and a license key that activates it.

Each license is generated for one specific Q-SYS Core, identified by the Core ID you enter when ordering. Features, technical requirements and compatibility are described on each product page; it is your responsibility to check them, and the accuracy of the Core ID, before ordering.

3. Prices

Prices are set in euros and include all taxes (VAT included). At payment, our payment provider Stripe may offer to pay in your local currency: the converted amount, which includes Stripe's conversion fee, is shown before you confirm, and you can always choose to pay in euros. The price shown at checkout is the total price: no tax or fee is added afterwards. Discounts (promotional codes, bundle offers) are shown in the cart before payment.

The VAT included in the price is determined from your billing address. Businesses established in another EU Member State can enter their intra-community VAT number at checkout; the reverse-charge mechanism then applies. An invoice showing the VAT breakdown is issued for every paid order and made available by email.

4. Ordering

You add plugins to your cart with the Core ID of each target system, enter your delivery email, review your order, accept these terms and confirm with the payment button, which places an order with an obligation to pay. An order confirmation is then sent to you by email.

We may refuse or cancel an order in the event of a payment problem, suspected fraud or an obvious pricing error.

5. Payment

Payment is made by bank card through Stripe, in a secure environment. We never have access to your card details. The order is final once the payment has been confirmed.

6. Delivery

Delivery is electronic and immediate: once payment is confirmed, you receive an activation code by email giving access to the Activation Portal, where you can retrieve your license keys and download the plugin files at any time.

If you have not received anything within 24 hours, check your spam folder, then write to contact@bvfactory.dev.

7. Right of withdrawal and refunds

Consumers normally have 14 days to withdraw from a distance contract. However, under Article L221-28 13° of the French Consumer Code, this right cannot be exercised for digital content supplied without a physical medium once performance has begun with the consumer's prior express consent and acknowledgment that the right of withdrawal is thereby lost.

At checkout you expressly ask for your license to be delivered immediately and acknowledge that you lose your right of withdrawal once it has been delivered. Consequently, no withdrawal is possible after the license key has been delivered. This acknowledgment is confirmed in your order confirmation email.

Professionals have no right of withdrawal.

Refunds. A license key works offline: once it has been entered on a Q-SYS Core, it cannot be deactivated remotely and the plugin remains usable. For this reason, apart from the cases where the law entitles you to a refund (section 9), sales are final. Any refund request is examined individually and granted at our sole discretion. If you have any doubt about compatibility, write to contact@bvfactory.dev before ordering; if you ordered with a wrong Core ID or run into a problem, contact us and we will look for a solution.

8. License

Each purchase grants you a non-exclusive, non-transferable right to use the plugin on the Q-SYS Core whose Core ID was provided when ordering, without time limit unless stated otherwise on the product page.

You may not copy the plugin beyond what is needed for that use, redistribute or resell it, share license keys, circumvent the licensing mechanism, or decompile or reverse engineer the software, except where the law expressly allows it. The plugins remain the intellectual property of the seller.

9. Legal guarantees — Consumers

Consumers benefit from the legal guarantee of conformity for digital content (Articles L224-25-12 et seq. of the French Consumer Code) for two years from supply: if the plugin does not conform to the contract, you are entitled to have it brought into conformity free of charge and without undue delay, or failing that to a price reduction or to termination of the contract with a refund. During that period, we provide the updates needed to keep the plugin in conformity.

Consumers also benefit from the legal guarantee against hidden defects (Articles 1641 to 1649 of the French Civil Code), for two years from discovery of the defect.

To rely on these guarantees, write to contact@bvfactory.dev or to the seller's postal address.

10. Liability

Plugins are used in live production environments: you are responsible for testing them in your own system before relying on them for an event or installation, and for keeping backups of your Q-SYS designs.

For professional customers, our total liability is limited to the price paid for the plugin concerned, and we are not liable for indirect damage such as loss of revenue, loss of data or interruption of a show. Nothing in these terms limits the rights that consumers hold under mandatory law.

11. Personal data

Data collected when you order is processed as described in our Privacy Policy, available at /privacy.

12. Support and complaints

For any question or complaint, write to contact@bvfactory.dev or to BV FACTORY, 16 rue des Caillères, 44330 Le Pallet, France.

13. Mediation — Consumers

In accordance with Article L612-1 of the French Consumer Code, consumers may, free of charge, refer an unresolved dispute to a consumer mediator after first sending us a written complaint. Write to contact@bvfactory.dev to obtain the contact details of the competent mediator.

14. Applicable law and disputes

These terms are governed by French law. Consumers residing in another country of the European Union also benefit from the mandatory protective provisions of the law of their country of residence, and may bring proceedings before the courts that have jurisdiction under applicable law.

For professional customers, any dispute falls within the exclusive jurisdiction of the Commercial Court of Nantes.
